Instructions for Obtaining Quotes and Placing Purchase Orders:

1. 1. For product and pricing information, email texasdir@activecyber.com or contact Andrea King at 214-646-3353.
   2. Active Cyber will respond, in writing, to an order form as issued by the DIR Customer, consistent with the Terms and Conditions of the contract.
   3. When generating an order form, reference the DIR contract number DIR-CPO-5536.
   4. Email your order and quote form to your selected Account Executive
   5. The order form must be signed by authorized representatives of both the Customer and Active Cyber.

Warranty and Return Policies:

1. Subject to Section 2 below, Okta warrants that during the applicable Term: (i) the Service shall perform materially in accordance with the applicable Documentation; (ii) Okta will employ then-current, industry-standard measures to test the Service to detect and remediate Malicious Code designed to negatively impact the operation or performance of the Service, and (iii) the overall functionality of the Service will not be materially decreased as described in the applicable Documentation. Okta shall use commercially reasonable efforts to correct the non-conforming Service at no additional charge to Customer, and in the event Okta fails to successfully correct the Service within a reasonable time of receipt of written notice from Customer detailing the breach, then Customer shall be entitled to terminate the applicable Order Form as to the non-conforming Service and receive an immediate pro rata refund of any prepaid, unused Fees for the non-conforming Service. The remedies set forth in this subsection will be Customer’s sole remedy and Okta’s entire liability for breach of these warranties unless the breach of warranties constitutes a material Rev 022022 breach of this Agreement and Customer elects to terminate this Agreement in accordance with Okta’s Master Subscription Agreement - Section 11.2 entitled “Termination.”  

2. Exclusions. The warranties set forth in Section 1 shall apply only if the applicable Service has been utilized in accordance with the Documentation, the Agreement and applicable Law.

3. Disclaimer. EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH UNDER SECTION 1, OKTA AND ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES RELATING TO THE SERVICE, PROFESSIONAL SERVICES OR OTHER SUBJECT MATTER OF THIS AGREEMENT, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF NON-INFRINGEMENT OF THIRD PARTY RIGHTS, TITLE, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE PARTIES ARE NOT RELYING AND HAVE NOT RELIED ON ANY REPRESENTATIONS OR WARRANTIES WHATSOEVER REGARDING THE SUBJECT MATTER OF THIS AGREEMENT, EXPRESS OR IMPLIED. OKTA MAKES NO WARRANTY REGARDING ANY NON-OKTA APPLICATION WITH WHICH THE SERVICE MAY INTEROPERATE.
